Euro 34 million will be spent on the Waterford plant and euro 4 million on the brewery in Dundalk.
Guinness said that the expansion would help with overseas sales, which have grown by 9 percent in recent years.
The St. James’s Gate brewery is working at almost full capacity.
The Waterford plant is to be converted to a new state-of-the-art stout facility.
Additional investment will be involved in the transfer of ale production to the Guinness UDV-owned Dundalk brewery.
